Restaurant Partner Agreement

In force from 9 October 2026

This agreement is between Xavon Foods (proprietor: Dharmikbhai Hasmukhbhai Chauhan) (“myBardoli”, “we”, “us”) and the restaurant, kitchen, bakery or other food business that lists food through myBardoli (“you”, “the restaurant”). It applies from the moment you list anything for sale through us.

1. What each of us does

You sell the food. We provide the place to sell it.

myBardoli is a marketplace. Every order placed through the app is a contract of sale between you and the customer. We are not the seller, the manufacturer, the packer or the importer of any item you list.

We collect payment as your agent and pass it to you after deducting the commission and charges agreed with you. Money we hold for you is yours, not ours.

We provide the ordering platform, the customer app, the partner app, delivery arrangements and payment collection. We decide how the app looks and works, and we may change it.

2. Your food, and who answers for it

This section is the heart of this agreement. You confirm, every time you accept an order, that:

Food is yours, start to finish

We do not cook, handle, inspect, store or alter your food. We cannot and do not verify its ingredients, its hygiene or its safety. Responsibility for the food itself is yours alone, and stays yours, including after it has left your kitchen.

3. Photographs, descriptions and other content

Everything you put on myBardoli — photographs, dish names, descriptions, your logo, your cover picture, menu text — is your content, and you are responsible for it. You confirm that:

You grant us a non-exclusive, royalty-free licence to host, resize, re-compress and display your content on myBardoli and in our own marketing, for as long as you are listed and for a reasonable period afterwards. We may compress or resize photographs so they load quickly; that is not a change to your content for the purposes of this agreement.

We may remove, replace or refuse any content at any time, with or without telling you first, including content we believe is not yours, not accurate, or likely to mislead. Our full Photo & Content Policy forms part of this agreement.

4. Prices, add-ons and what a customer is charged

5. Accepting, preparing and handing over

If a customer refuses a cash order, you do not carry that loss

A customer cannot cancel an order once it is placed — there is no cancel button in their app, and their terms say so plainly. So when you accept an order, it is a real order.

If a cash-on-delivery order is nonetheless refused at the door, or the customer cannot be reached to take it, My Bardoli pays you for that order in full, as though it had been delivered. It appears in your earnings like any other. The delivery partner is paid for the journey too. We recover it from the customer, and their account is suspended where that is the right answer — none of which is your problem to chase.

Two things we ask in return: that the food really was made and handed to the delivery partner, and that you tell us the same day. A claim for an order that was never cooked is a claim we will not pay, and is a serious breach of this agreement.

6. When something goes wrong with an order

Refunds for your mistakes come out of your money

If we refund or compensate a customer because of something that was your responsibility — food that was unsafe, stale, wrongly described, missing, short, the wrong item, a missing add-on, a veg item that was not vegetarian, a photograph that misled — we may deduct that amount from what we owe you, and you agree to that deduction.

We will tell you what was refunded and why. If you disagree, raise it within 7 days and we will look at it again.

Where the fault is ours — our app, our payment handling, our delivery arrangement — we bear it, and we will not deduct it from you.

7. You cover us if your food or your content causes a claim

Indemnity

You agree to indemnify us, and keep us indemnified, against every claim, demand, proceeding, penalty, fine, loss and reasonable cost (including legal fees) that we suffer because of:

This survives the end of this agreement.

You should hold product liability insurance appropriate to a food business. We may ask to see it.

8. What we are responsible for, and the limit of it

We are responsible for operating the platform with reasonable care and for paying you what you are owed.

We are not liable to you for loss of profit, loss of business, loss of goodwill, or any indirect or consequential loss. Our total liability to you in any twelve-month period is limited to the total commission we actually received from you in the three months before the claim arose.

Nothing in this agreement limits anything that cannot lawfully be limited, including liability for death or personal injury caused by negligence, or for fraud. Nothing in this agreement affects a customer's rights against either of us under the Consumer Protection Act 2019, and nothing in it requires us to act contrary to the Consumer Protection (E-Commerce) Rules 2020 or the Food Safety and Standards Act 2006.

9. Suspension and ending this agreement

We may suspend or remove your listing immediately and without notice if we reasonably believe there is a risk to a customer's health or safety, that your FSSAI licence is not valid, that your content is not yours, that your listing misleads, or that you are breaking the law. We may also suspend for repeated complaints, repeated cancellations, or non-payment of what you owe us.

Either of us may end this agreement on 15 days' written notice. Ending it does not affect orders already placed, money already owed, or sections 2, 3, 6, 7, 8, 10 and 11, which continue.

10. Your information and your customers' information

Customer details we share with you — name, address, phone, order contents — are given to you only to fulfil that order. You may not keep them longer than you need, use them for marketing, sell them, or pass them to anyone else. You must protect them. This obligation continues after this agreement ends, and applies under the Digital Personal Data Protection Act 2023.
